These Terms and Conditions ("Terms") govern your access to and use of the services, applications, platforms, integrations, products, AI tools, and software ("Services") provided by Expert Technologies. ("Expert", "we", "us", or "our").

By accessing or using our Services, you ("User", "Client", "You", or "Your") agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Eligibility & Acceptance

By using the Services, you confirm that:

· You are at least 18 years old.

· You have the authority to enter into these Terms on behalf of your organization.

· You have read, understood, and agreed to these Terms.

2. Description of Services

Expert provides SaaS-based automation tools including (but not limited to):

· WhatsApp Automation & Messaging

· Campaign Broadcasting

· Chatflows, Drip Messaging & AI-Powered Responses

· Team Inbox for Support & Sales

· Data Management & Lead Management

· AI Analytics, Insights & Reporting

· E-commerce & Catalog Commerce

· Appointment Booking

· Workflow Automation

· Webhooks, APIs, and Third-Party Integrations

· White-label solutions for Partners

We may update, modify, suspend, or discontinue any feature at any time with or without notice.

3. Account Registration

To use the Services, you must:

· Create an account with accurate information

· Maintain confidentiality of login credentials

· Be responsible for all actions taken under your account

We reserve the right to refuse or suspend accounts that present risk, violate policies, or misuse the Services.

4. Third-Party Platforms & Integrations

Our Services integrate with various third-party applications, including but not limited to:

Meta Platforms (WhatsApp, Instagram, Facebook)

When connecting these platforms, you authorize us to access:

· Business account information

· Contacts, leads, and form submissions

· Messages, comments, replies & associated metadata

· Audience and engagement insights

Usage is governed by Meta's Business Terms, WhatsApp API Policies, and Instagram Platform Policies.

Other Third-Party Integrations

You may also connect CRMs, payment gateways, e-commerce platforms, call tracking apps, marketing tools, and lead sources.

By doing so, you grant us permission to access and process data strictly for the purpose of delivering the Services.

5. User Responsibilities

You agree NOT to use the Services for:

· Sending spam, unsolicited broadcasts, or abusive messages

· Illegal, harmful, fraudulent, or deceptive practices

· Violating WhatsApp/Instagram/Facebook policies

· Distributing harmful content, including sexual, violent, or restricted items

· Attempting to bypass platform limits or API restrictions

· Interfering with platform performance or manipulating systems

· Sharing misleading, defamatory, or copyrighted content without authorization

You are responsible for:

· Obtaining consent from customers before sending messages

· Ensuring your content complies with all applicable laws

· The accuracy of all information, content, and media you upload

6. Subscription Plans, Billing & Payments

6.1 Subscription Billing

Expert offers monthly and yearly subscription plans. By subscribing, you authorize us and our payment partners (Stripe, PayU, Razorpay) to charge recurring fees.

6.2 Platform Fee & Meta Credits (Non-Refundable)

You acknowledge that:

· Platform Fees are strictly non-refundable, including partial usage.

· Meta / WhatsApp conversation credits are non-refundable, irrespective of usage or account status.

6.3 Taxes

All prices are exclusive of applicable taxes. Users are responsible for paying GST or other applicable taxes.

6.4 Renewal & Cancellation

· Subscriptions auto-renew unless cancelled before the renewal date.

· Cancelling a subscription does not grant refunds for any portion already billed.

· Upon cancellation, Services will remain active until the end of the billing period.

7. No Refund Policy

Except where required by law:

· Subscription fees, platform fees, onboarding fees, setup fees, add-ons, credits, and usage charges are non-refundable.

· Refunds will not be issued for account termination due to violation of these Terms or WhatsApp/Meta policies.

8. Messaging Policies & Compliance

You agree to comply with:

· WhatsApp Business Platform Policies

· Meta Commerce & Messaging Policies

· Country-specific telecom laws

· TRAI guidelines (if applicable)

If Meta revokes your WABA, restricts templates, or blocks messaging due to your actions, Expert is not liable.

We may suspend your messaging temporarily to prevent:

· High-risk activity

· Spam

· Violations of WhatsApp Template rules

· Excessive failed deliveries or complaints

9. AI Features & Limitations

Expert uses AI models to automate responses. You acknowledge:

· AI outputs may not be 100% accurate

· AI does not replace human judgment

· You must review critical or sensitive communications

Expert is not responsible for any damages arising from AI-generated content or decisions.

10. Intellectual Property

All trademarks, logos, designs, code, workflows, and platform features are owned by Expert. Users may not:

· Copy, modify, reverse-engineer, or redistribute the platform

· Use brand assets without written permission

· Replicate or resell platform functionality without authorization

11. Data Retention, Access & Deletion

We may retain:

· Chat logs

· Leads and customer data

· Analytics and reporting information

for as long as required to deliver Services or comply with legal obligations.

Upon request or account termination, you may request deletion of stored data.

Expert may retain anonymized or aggregated data for analytics and product improvement.

12. System Availability & Maintenance

We strive for high uptime but do not guarantee:

· Uninterrupted access

· Error-free operation

· 100% message delivery

· Availability during Meta/third-party outages

We may perform maintenance that temporarily affects access.

13. Suspension & Termination

We may immediately suspend or terminate your access if you:

· Violate these Terms

· Send prohibited content

· Engage in fraud, spam, or harmful behavior

· Misuse the platform or APIs

· Harm system stability or security

· Violate Meta/WhatsApp policies

Upon termination:

· Subscriptions and credits are not refunded

· Access to dashboards, integrations, and automations will stop

· We may delete or restrict access to your data as per our retention policy

14. Indemnification

You agree to indemnify and hold harmless Expert from any claims, damages, losses, legal fees, or liabilities arising from:

· Your use of the Services

· Your content or messaging practices

· Policy violations

· Third-party claims

· Government or regulatory penalties

15. Limitation of Liability

To the maximum extent permitted by law, Expert is not liable for:

· Loss of profits, revenue, business, data, or goodwill

· WhatsApp bans, Meta restrictions, or API disruptions

· Downtime, delays, or technical failures

· Errors from third-party integrations

· AI-generated responses

· Indirect, incidental, or consequential damages

Total liability is limited to the amount paid by you in the last 3 months.

16. Force Majeure

We are not liable for delays or failures caused by:

· Natural disasters

· War, terrorism, or civil unrest

· Government actions

· Internet or telecom outages

· Platform-wide outages from WhatsApp/Meta

· Fires, floods, pandemics

· Events beyond our control

17. White-Label Partners

If you use our white-label offering:

· You are responsible for ensuring your clients follow these Terms

· You may not misrepresent Expert's capabilities

· You may not offer prohibited services using our infrastructure

Violations by your clients will be considered violations by you

18. Modification of Terms

We may update these Terms at any time. Continued use of the Services after updates implies acceptance.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh.
